These terms and conditions apply to your use of the Thryvve website and chat assistant application (chat.thryvve.com.au) on desktop and mobile, owned and operated by Thryvve Group Pty Ltd, ABN 22 689 026 408. By accessing or using our Services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our Services. Definitions: "You," "Your," or "User" refers to you, the person or entity using our Services. "We," "Us," "Our," or "Thryvve" refers to Thryvve Group Pty Ltd. 1. USING OUR SERVICES

3. SUBSCRIPTIONS AND FREE TRIAL

Subscription Model: Thryvve operates on a subscription-only basis. Access to our Services requires an active paid subscription after your free trial period. Free Trial: New users are eligible for a 30-day free trial with full access to our Services. No credit card is required to start your free trial. The trial period begins when you first access our Services and automatically ends after 30 days. Subscription Billing: After your free trial ends, you must actively subscribe to continue using our Services. Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). You will only be charged if you choose to subscribe after your trial period. Payment Processing: All subscription payments are processed securely through our third-party payment processor, Stripe. By subscribing, you agree to Stripe's terms of service and privacy policy. We do not store your payment information on our servers. Subscription Management: You can manage your subscription, including cancellation, through your account settings or by contacting our support team.

Maintenance, updates, or technical issues may temporarily affect availability.

8. LIMITATION OF LIABILITY

In no event will Thryvve Group Pty Ltd, its officers, directors, employees, affiliates, or agents be liable for any indirect, incidental, consequential, or exemplary damages arising from your use of the Services, including but not limited to loss of profits, revenue, data, or any other intangible losses. 10. SUBSCRIPTION CANCELLATION

Cancellation Rights: You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation is handled through our payment processor, Stripe, which manages all subscription billing. Effect of Cancellation: When you cancel: - Your subscription will remain active until the end of your current billing period - You will retain access to all Services until your subscription expires - No refunds will be provided for unused portions of your subscription period - Your account and data will be retained for a reasonable period in case you wish to reactivate Free Trial Cancellation: Your free trial will automatically end after 30 days. You are not required to take any action if you choose not to continue using our Services. You will only be charged if you actively choose to subscribe.

11. SERVICE MODIFICATIONS AND TERMINATION

Thryvve Group Pty Ltd reserves the right to modify, suspend, or terminate Services at any time. We may add or remove features, update pricing, or discontinue Services with reasonable notice where possible. If we discontinue Services that you have paid for, we will offer a pro-rated refund for the unused portion. We may also terminate or suspend your access immediately if you violate these Terms or engage in prohibited conduct.

12. REFUND POLICY

General Policy: Refunds are generally not provided for subscription services once they have commenced, except as specifically outlined in these Terms or required by law. Service Discontinuation: If we permanently discontinue Services, we will provide pro-rated refunds for the unused portion of your subscription. Exceptional Circumstances: Refunds may be considered on a case-by-case basis for exceptional circumstances at our sole discretion.

13. DATA AND LOG FILES

Our web servers log access to the Services, including IP addresses, browser types, access times, and referral URLs for the purpose of systems administration, security monitoring, and troubleshooting. These logs are for internal use only and are not shared with third parties, except as required by law or as outlined in our Privacy Policy.

14. INTELLECTUAL PROPERTY

All content on the Thryvve platform, including text, graphics, logos, algorithms, and proprietary software, is the property of Thryvve Group Pty Ltd or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from any content without written permission. User Content: You retain ownership of any content you submit to our Services. By submitting content, you grant us a limited license to process it for the purpose of providing our Services.

15. FORCE MAJEURE

Neither party will be liable for any failure or delay in performing obligations under these Terms due to events outside the party's reasonable control, including but not limited to acts of God, war, terrorism, strikes, natural disasters, governmental restrictions, or significant technical infrastructure failures.

16. CHANGES TO THESE TERMS

Thryvve Group Pty Ltd reserves the right to modify these Terms at any time. Material changes will be communicated through email notification or prominent notice on our platform. Your continued use of the Services after such modifications constitutes acceptance of the revised Terms. In the event of a conflict between these Terms and additional terms associated with specific Services, the additional terms will control for those specific Services. These Terms do not create any third-party beneficiary rights.

17. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and Conditions shall be governed by and construed in accordance with the laws of Queensland, Australia, without regard to conflict of law principles. Any disputes arising from or relating to these Terms shall be resolved in the courts of Queensland.
