Broker Usage Terms

These Broker Usage Terms apply specifically to licensed mortgage brokers and their teams accessing the Thryvve chat assistant platform. By using our Services, you agree to comply with these professional requirements and responsibilities. Last Updated: 1 September 2025

1. ELIGIBILITY AND ACCESS REQUIREMENTS

Primary Account Holder: Access to Thryvve is restricted to individuals who hold a valid Australian Credit Representative Number (CRN) issued under the National Consumer Credit Protection Act 2009 (Cth). Registration Requirements: - You must provide a valid CRN during signup - You may only use your own CRN - using another person's number is strictly prohibited - Your registration is subject to verification of your accreditation status - Access may be suspended if your accreditation status changes or expires Ongoing Eligibility: - You must maintain your credit representative accreditation in good standing - You must only use your own legitimate CRN - You must notify Thryvve immediately if your accreditation status changes - Failure to maintain valid accreditation may result in immediate account suspension

2. TEAM ACCESS AND DELEGATION

Team Member Invitations: As a licensed credit representative, you may invite team members to access the platform under your supervision, including: - Support staff assisting with lending policy research - Junior brokers working under your guidance - Administrative personnel requiring access for legitimate business purposes Team Member Requirements: - Team members do not require individual credit representative numbers - All team access must be directly authorized by you as the primary account holder - Team members must be employees or contractors working under your direct supervision Your Responsibilities for Team Access: - Ensure team members understand and comply with these usage terms - Monitor and control how team members use the platform - Immediately revoke access when team members no longer require it - Ensure team members do not share access credentials or platform content inappropriately

3. PERMITTED USE AND RESTRICTIONS

Authorized Use: The Thryvve platform and its lending policy information may only be used for: - Legitimate mortgage broking activities and client consultations - Policy research to support lending applications and client advice - Training and education of your authorized team members - Compliance with your professional obligations as a credit representative Prohibited Activities: You and your team members must not: - Share platform access with unauthorized third parties - Distribute lending policy information to competitors or other brokers - Use the platform for purposes unrelated to mortgage broking - Attempt to extract, copy, or reproduce the platform's database or algorithms - Provide access to individuals not under your direct supervision

4. PROFESSIONAL RESPONSIBILITY AND LIABILITY

Your Professional Obligations: As a licensed credit representative, you acknowledge that: - You remain fully responsible for all professional advice given to clients - Platform information supplements but does not replace your professional judgment - You must verify critical information with lenders before making final recommendations - You are solely responsible for compliance with all applicable laws and regulations Liability for Team Members: You accept full responsibility and liability for: - All actions taken by your team members using the platform - Any unauthorized distribution of platform content by team members - Ensuring team members comply with confidentiality and usage requirements - Any misuse of the platform by individuals you have authorized Indemnification: You agree to indemnify Thryvve against any claims arising from: - Misuse of the platform by you or your team members - Unauthorized distribution of platform content - Breach of these usage terms by your team - Any professional advice given based on platform information

5. COMPLIANCE AND REGULATORY OBLIGATIONS

Regulatory Compliance: By using Thryvve, you confirm that you will: - Comply with all ASIC regulatory requirements for credit representatives - Maintain appropriate professional indemnity insurance - Follow the National Consumer Credit Protection Act 2009 (Cth) requirements - Adhere to the Australian Financial Services Licensing regime where applicable Reporting Obligations: You must immediately notify Thryvve if: - Your credit representative status is suspended, cancelled, or under investigation - You become aware of any unauthorized use of the platform - There are changes to your business structure affecting your accreditation

6. INFORMATION ACCURACY AND LIMITATIONS

Information Currency: While Thryvve strives to maintain current and accurate lending policy information: - You must verify critical information directly with lenders - Platform information should supplement, not replace, direct lender contact - Policy updates may have timing delays between lender publication and platform updates Professional Judgment: - The platform provides information tools to assist your professional decision-making - You remain responsible for all professional advice and recommendations - Complex scenarios should always be verified with relevant lenders - Platform information does not constitute professional advice in itself

7. BREACH AND TERMINATION

Breach of Terms: Thryvve may immediately suspend or terminate your access if: - Your credit representative accreditation lapses or is suspended - You use a CRN that does not belong to you - You or your team members breach these usage terms - Unauthorized distribution of platform content is detected - You fail to maintain required professional standards Effect of Termination: Upon termination of access: - All team member access will be immediately revoked - You must ensure all downloaded or saved platform content is deleted - Confidentiality obligations continue indefinitely - Outstanding subscription fees remain payable
